Terms of Service

Last updated: October 31, 2026

These Terms of Service ("Terms") govern your access to and use of the Trace4X web application, the Trace4X mobile app for iOS and Android, the related telematics services and this website (together, the "Services"), provided by Trace4X ("Trace4X", "we", "us"). By using the Services you agree to these Terms. If you use the Services on behalf of a company, you agree to them on behalf of that company.

If your company has signed a separate agreement with Trace4X, that agreement governs where it conflicts with these Terms.

1. The Services

Trace4X is a fleet management service for businesses. It includes vehicle tracking with supported telematics devices, a driver app, vehicle inspections, equipment tracking, maintenance management, notifications, chat and duty status logs. We may change, add or remove features over time.

2. Accounts

3. Customer responsibilities

4. Acceptable use

You agree not to:

5. Safe driving

Do not use the App while driving. Interact with the App only when the vehicle is safely parked. You are responsible for obeying traffic laws and driving safely. Trace4X is not responsible for accidents or violations that result from use of a mobile device while driving.

6. No safety or compliance guarantee

The Services help you organize inspections, maintenance, equipment and logs, but they do not replace your own judgment, a qualified mechanic or your legal obligations. Reminders, statuses, locations and logs depend on devices, connectivity and data entered by users and may be delayed or inaccurate. You remain responsible for the roadworthiness of your vehicles and for meeting any regulatory requirements that apply to you. Trace4X does not calculate hours-of-service limits or violations.

7. Your data

The Customer owns the data it and its users put into the Services ("Customer Data"). The Customer grants us the rights needed to host, process and display Customer Data to provide and support the Services. We handle personal information as described in our Privacy Policy. We may use aggregated, de-identified data to operate and improve the Services.

8. Fees

Fees, billing terms and the hardware or devices included are set out in the order or agreement between Trace4X and the Customer. Unless stated otherwise there, fees are in US dollars and non-refundable.

9. Third-party services and devices

The Services rely on third-party providers such as telematics devices, cellular networks, mapping providers, app stores and push notification services. We are not responsible for their availability or for third-party products, which are subject to their own terms.

10. Intellectual property

Trace4X and its licensors own the Services, including the software, design and trademarks. We grant you a limited, non-exclusive, non-transferable right to use the Services for your company's internal business purposes during the term of the Customer's subscription. Feedback you give us may be used without obligation.

11. Suspension and termination

We may suspend or terminate access if you breach these Terms, if the Customer's subscription ends or is unpaid, or if needed to protect the Services or other users. On termination, the Customer may request an export of its data within 30 days; after that we delete it as described in the Privacy Policy. Individual users can ask for their account to be deleted at trace4x.com/delete-account.

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT ALLOWED BY LAW, TRACE4X DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR THAT LOCATION AND TELEMATICS DATA WILL BE ACCURATE OR COMPLETE.

13. Limitation of liability

TO THE FULLEST EXTENT ALLOWED BY LAW, TRACE4X WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA. TRACE4X'S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY THE CUSTOMER TO TRACE4X FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

14. Indemnity

The Customer will defend and indemnify Trace4X against third-party claims arising from the Customer's or its users' unlawful use of the Services, including tracking without the required notice or consent.

15. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws rules. Disputes will be brought in the state or federal courts located in Delaware, unless the agreement between Trace4X and the Customer says otherwise.

16. Changes

We may update these Terms. We will post the new version here and update the "Last updated" date. If changes are material, we will give reasonable notice. Continued use after changes take effect means you accept them.
